MYL ALGHYD FOR MEDICAL & LABORATORY EQUIPMENT REPAIRING CO.


1. DEFINITIONS

In these Terms & Conditions:

  • “Company” means MYL ALGHYD FOR MEDICAL & LABORATORY EQUIPMENT REPAIRING CO., Dubai, United Arab Emirates.
  • “Customer” means any individual, hospital, clinic, laboratory, institution, or entity engaging the Company’s services.
  • “Equipment” means medical, laboratory, scientific, or diagnostic devices submitted for inspection, repair, servicing, calibration, or maintenance.
  • “Services” means all repair, maintenance, inspection, troubleshooting, calibration, supply of spare parts, and related technical services provided by the Company.

2. SCOPE OF SERVICES

2.1 The Company provides repair, maintenance, servicing, and technical support for medical and laboratory equipment as agreed in quotations, job cards, or service contracts.
2.2 Services are limited strictly to the scope stated in the approved quotation or service agreement.
2.3 Any additional work requested by the Customer shall require written approval and may be charged separately.


3. QUOTATIONS & ACCEPTANCE

3.1 All quotations are valid for 30 days unless stated otherwise.
3.2 Acceptance of a quotation, issuance of a purchase order, or delivery of equipment for repair constitutes acceptance of these Terms & Conditions.
3.3 Verbal instructions shall not be binding unless confirmed in writing.


4. PRICES & PAYMENT TERMS

4.1 Prices are quoted in United Arab Emirates Dirhams (AED) unless otherwise stated.
4.2 Payments shall be made as follows unless otherwise agreed:

  • Advance payment may be required before commencement of work
  • Balance payable upon completion or invoicing
    4.3 Invoices are payable within 15 days from the invoice date unless stated otherwise.
    4.4 Late payments may incur administrative charges or suspension of services.
    4.5 All bank charges, transfer fees, or related costs shall be borne by the Customer.

5. EQUIPMENT CONDITION & CUSTOMER RESPONSIBILITIES

5.1 The Customer confirms that the Equipment is lawfully owned and free from contamination, biohazards, or hazardous substances unless disclosed in writing.
5.2 The Customer must ensure that Equipment delivered for service is:

  • Clean and decontaminated
  • Accompanied by accurate fault descriptions
    5.3 The Company reserves the right to refuse service on unsafe or contaminated Equipment.

6. REPAIR & SERVICE WARRANTY

6.1 The Company provides a limited service warranty of 30 to 90 days (as stated on invoice) on workmanship only.
6.2 Spare parts are covered only by the manufacturer’s warranty, if applicable.
6.3 Warranty does not cover:

  • Misuse, negligence, or improper operation
  • Power fluctuations or environmental conditions
  • Unauthorized repairs or modifications
  • Normal wear and tear
    6.4 Warranty becomes void if the Equipment is handled by third parties after service.

7. SPARE PARTS

7.1 Spare parts may be new, refurbished, or equivalent unless specified otherwise.
7.2 Availability of spare parts is subject to suppliers and manufacturers.
7.3 The Company is not liable for delays caused by spare parts unavailability.


8. LIMITATION OF LIABILITY

8.1 The Company shall not be liable for:

  • Loss of data, samples, or consumables
  • Loss of profit, business interruption, or indirect damages
    8.2 The Company’s total liability shall not exceed the amount paid for the specific service giving rise to the claim.
    8.3 The Company is not responsible for pre-existing faults or latent defects.

9. CALIBRATION & COMPLIANCE

9.1 Calibration services, if requested, are performed according to available standards and reference equipment.
9.2 The Company does not guarantee regulatory acceptance unless explicitly stated in writing.


10. DELAYS & FORCE MAJEURE

10.1 The Company shall not be liable for delays caused by circumstances beyond its control, including but not limited to:

  • Supplier delays
  • Customs clearance
  • Force majeure events (fire, flood, government actions, etc.)

11. STORAGE & UNCOLLECTED EQUIPMENT

11.1 Equipment not collected within 30 days after service completion may incur storage charges.
11.2 Equipment uncollected for 90 days may be disposed of or sold to recover costs, subject to UAE law.


12. TERMINATION

12.1 The Company may suspend or terminate services if the Customer breaches these Terms & Conditions.
12.2 Termination does not affect payment obligations for completed work.


13. CONFIDENTIALITY

13.1 Both parties agree to maintain confidentiality of technical, commercial, and proprietary information.


14. GOVERNING LAW & JURISDICTION

14.1 These Terms & Conditions shall be governed by the laws of the United Arab Emirates.
14.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.


15. ENTIRE AGREEMENT

15.1 These Terms & Conditions constitute the entire agreement between the parties and supersede all prior communications.
15.2 The Company reserves the right to amend these Terms & Conditions without prior notice.
